You may make a wrong tax election, and wind up paying hundreds or even thousands of dollars in unnecessary federal taxes. The truth is, none of us go into business to benefit Uncle Sam. If you’re like us, you believe that taxes are one of the biggest drags on our economy. That doesn’t mean you aren’t willing to PAY taxes. But you do want to make sure that you don’t pay more than you have to. In other words, you want to minimize your taxes and maximize your income.

Being a tax-efficient business means making the right tax election. You have 4 different taxation options. The correct choice depends on two things:

  1. Understanding your unique business – what it does and how it earns money; and
  2. Understanding how the IRS taxes different types of income

That’s why we take the time to talk to you about what your business will do, and help you to make sure the right tax election is properly made. We don’t play guessing games with your taxes.

Reason #3: No Hidden Fees.

Many low-cost providers don’t tell you the whole story when it comes to state filing fees. You get a low-ball quote and find out later that it only covers part of the total filing costs.

Nevada is a great example. The base cost to file Articles of Incorporation for either a corporation or an LLC is $75. So, many services charge you just that. But Nevada has a secondary information filing, and a business license filing that add up to another $325. Your total state fees are really $400.

When do you find out? Usually not until after-the-fact, when you get your filed Articles. Worse yet, you find this out the hard way, when your corporate filings are late and huge penalties apply.

Many service providers will try to sell you things like a Nevada or Wyoming virtual office, mailing address, phone service, and more. They’ll tell you that you can avoid taxes by locating your virtual offices in these states.

But the truth is, you don’t NEED any of these things. In fact, depending on where you live and your business activities, you may not receive ANY benefit from these things. It all depends on what your business does, and how it’s structured.

Tax laws have and continue to change quickly. The old idea that Nevada companies, or Wyoming companies, are somehow exempt from paying taxes is (a) old, and (b) wrong. Legislation signed by the President earlier in 2010 specifically disallows this old tax dodge, which is known as upstreaming.

That’s why we don’t push you to sign up for unnecessary, expensive after-market services. On the other hand, if there is a way to effectively and legally use a Nevada or Wyoming company as part of a bigger tax strategy, we’ll tell you.

Reason #5: Affordable Resident Agent Service.

All corporations and LLCs are required to list and maintain a registered office in 48 out of 50 states (NY and WV are the exceptions). It’s the law. That means putting a street address on the public record, and accepting that a process server can and will come to that address to serve any legal documents.

You can act as your business’s resident agent, or you can use a third-party provider. It’s a renewable service, usually paid annually. The benefit to using a third-party service is privacy. If you don’t want your personal address on the public record for anyone to find, we can help you with that.

That’s why we provide resident agent service in all 50 states, either directly or through a strategic partnership. We keep our fees affordable, and we don’t work with partners who overcharge, or who pad their bills with unnecessary and unwanted “conveniences.”

Reason #6: Renewals and Ongoing Support.

In most states, corporations and LLCs need to keep their filings up-to-date with the Secretary of State. That requires at least two things:

  1. Filing an Annual Report
  2. Renewing your Resident Agent Service (unless you act personally)

File late and the penalties can be steep, depending on your state. Forget to file, period, and your company can be dissolved.

That’s why, when you work with us or with a strategic resident agent partner, you’ll know what’s due and when, well ahead of time. We’ll work with you to make sure your filings are NEVER late. Plus, if you’re a resident agent client with us in Nevada, you can also sign up for our auto-renew feature, where we’ll automatically renew your corporation or LLC with the Secretary of State when we renew your resident agent service.

The Cost

Preliminary Consultation: Schedule a preliminary consultation with our team and learn about your incorporation choices, tax options, and more. We offer a 30-minute consultation for $100. Even better, we’ll credit that consultation fee towards your total business structure formation costs if you proceed.

Formation Fee: Our fee is a flat $595 for corporations and LLCs (Series LLCs start at $725). Resident Agent service and State filing fees are quoted separately, on a state-by-state basis.

Your $595 fee includes complete preparation of the following:

  • Preliminary discussions with you, by telephone or email, to determine the appropriate structure from both a business and a tax advantage
  • Preparation and filing of customized Articles of Incorporation or Articles of Organization
  • Preparation of a customized package of formation documents, including Bylaws or Operating Agreement, Organizational Resolutions, Share Certificates or Member Interest Certificates for Corporation or LLC
  • Filing and obtain IRS Tax ID Number, and making secondary tax elections for S Corporations, and LLCs wanting to be taxed as S or C Corporations
  • NV Set-Ups only: First year of Resident Agent Service
  • Series LLCs only: Preparation of customized Series sub-LLC packages, including creation Resolutions, independent Operating Agreements, Member Interest Certificates, tax flings for Series LLC Cells, d/b/a filings for Series Cells, template packages for creation of future Series LLC Cells, and template package for dissolution of Series LLC Cells.
